2. Not Legal or Tax Advice

LLCFile.org is not a law firm and does not provide legal advice. We are a document preparation and filing service. Our services are limited to preparing formation documents based on the information you provide.

We cannot advise you on whether an LLC is right for your situation, how to structure ownership, tax implications, or any other legal matters. For legal advice, please consult a licensed attorney. For tax advice, please consult a CPA or tax professional.

3. Your Responsibilities

You agree to:

Provide accurate and complete information for your LLC formation
Authorize us to prepare and file documents on your behalf
Use our services only for lawful purposes
Not misrepresent your identity or business information
Review all documents before we file them and notify us of any errors

4. State Filing Fees

State filing fees are separate from our service fees and vary by state. These fees are paid to the state government and are required to form your LLC. We will clearly disclose the state filing fee for your chosen state before you complete your order. State fees are non-refundable once submitted to the state.

All prices are displayed in US dollars
Service fees and state filing fees are clearly itemized at checkout
Payment is required before we begin processing your formation
Prices are subject to change without notice
All payments are processed securely through Stripe

6. Refund Policy

We offer a 100% money-back guarantee on our service fees under the following conditions:

If we are unable to complete your LLC formation for any reason, you will receive a full refund of our service fee
Refund requests must be made within 30 days of purchase
Refunds are not available after your LLC has been approved by the state
State filing fees that have already been submitted to the state are non-refundable
If your formation is rejected due to false information you provided, refunds are at our discretion

7. Processing Times

Processing times vary by state and are provided as estimates only:

Fast states (TX, DE, WY): 1-3 business days
Standard states: 3-7 business days
Slower states (NY, CA, IL): 1-2 weeks or longer

Actual processing times depend on state agency workloads and are not guaranteed. Rush processing is available in some states through our Complete package.

8. Registered Agent Services

If your package includes registered agent services, we will serve as your registered agent for one year from the date of formation. This service automatically renews annually unless you cancel or designate a new registered agent. You will receive notice before any renewal charges.

9. Limitation of Liability

To the maximum extent permitted by law, LLCFile.org shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services.

10. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the state will approve your LLC formation, although we will work to correct any issues and resubmit at no additional cost.

11. Intellectual Property

All content on LLCFile.org, including text, graphics, logos, and software, is the property of LLCFile.org or its licensors and is protected by intellectual property laws.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law provisions.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the new Terms on this page. Your continued use of our services after such changes constitutes acceptance of the new Terms.
